The PRO-CAPITAL Corporate Finance GmbH provides its services in the investment brokerage of financial instruments within the meaning of Section 2 clause 2 no. 3 of the German Securities Institutions Act (Wertpapierinstitutsgesetz – WpIG) exclusively for the account and under the liability of AHP Capital Management GmbH. In this respect, the PRO-CAPITAL Corporate Finance GmbH acts as a tied agent of AHP Capital Management GmbH pursuant to Section 3 clause 2 WpIG. AHP Capital Management GmbH is licensed by the German Federal Financial Supervisory Authority (BaFin) pursuant to Section 32 clause 1 of the German Banking Act (Kreditwesengesetz; KWG) and, as a securities institution, is permitted by BaFin to provide investment brokerage and investment advisory services within the meaning of Section 2 clause 2 no. 3 and no. 4 WpIG without acquiring ownership or possession of funds or securities of clients or to acquire or sell financial instruments for its own account.
